1. Acceptance of Terms

By accessing or using ForeignOwnedLLC.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not access or use the Service.

These Terms constitute a legally binding agreement between you and Sarcque LLC, a Wyoming limited liability company ("Company," "we," "us," or "our").

2. Description of Service

ForeignOwnedLLC.com provides automated software tools that assist users in generating U.S. compliance documentation, including but not limited to Form 5472, pro forma Form 1120, EIN application preparation (Form SS-4), and compliance tracking.

The Service is software only.

We:

• Are not a law firm
• Are not certified public accountants
• Do not provide legal, tax, accounting, or financial advice
• Do not represent users before the IRS or any government authority

Use of the Service does not create any attorney-client, accountant-client, fiduciary, or agency relationship.

3. Eligibility

You must:

• Be at least 18 years old
• Have the legal authority to enter into this agreement
• Use the Service only for lawful purposes

You are solely responsible for ensuring your use complies with applicable laws in your jurisdiction.

4. Accounts & Security

Your account is secured via:

• Account ID
• Password
• Optional passphrase

Due to encryption architecture:

• We may be unable to recover your encrypted data
• If you lose credentials, your data may be permanently inaccessible
• We are not liable for credential loss

You are responsible for all activity under your account.

5. User Responsibilities

You agree that:

• All information provided is accurate and complete
• You will independently review all generated documents
• You remain fully responsible for filing obligations
• You are responsible for meeting all federal, state, and international deadlines
• You will verify suitability of forms before submission

The Company does not verify user-submitted data for accuracy or completeness.

6. No Professional Advice

The Service provides automated document generation based solely on user input.

We do not:

• Interpret law
• Provide tax strategies
• Advise on entity structure
• Provide compliance guarantees
• Guarantee acceptance by the IRS or any authority

You should consult a licensed attorney or CPA before relying on generated documents.

7. Data & Security

We implement commercially reasonable encryption and security measures.

However:

• No system is completely secure
• Transmission over the internet carries inherent risk
• You acknowledge that we cannot guarantee absolute security

Our data practices are governed by our Privacy Policy.

8. Intellectual Property

All software, content, branding, and system architecture are the exclusive property of Sarcque LLC.

You are granted a limited, non-exclusive, non-transferable license to use the Service.

You may not:

• Reverse engineer
• Resell or sublicense
• Copy system logic
• Create derivative works
• Use automated scraping tools

9. Acceptable Use

You agree not to:

• Use the Service for fraudulent purposes
• Submit false EIN or identity data
• Attempt to interfere with platform security
• Upload malicious code
• Abuse API endpoints

We may suspend accounts at our discretion for violations.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

To the maximum extent permitted by law, we disclaim:

• All warranties, express or implied
• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability of generated forms

We do not warrant uninterrupted access or error-free operation.

11. Limitation of Liability

To the fullest extent permitted by law:

Sarcque LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages.

We are not liable for lost profits, lost data, IRS penalties, interest charges, or compliance failures.

Total liability shall not exceed the amount paid by you to the Company in the preceding 12 months.

If no fees were paid, liability shall not exceed $100 USD.

12. Indemnification

You agree to indemnify and hold harmless Sarcque LLC, its members, officers, and affiliates from any claims, damages, liabilities, penalties, or legal costs arising from:

• Your misuse of the Service
• Inaccurate information you provide
• Your filing errors
• Regulatory non-compliance
• Government audits or investigations

13. Termination

We may suspend or terminate access at any time for violation of these Terms.

You may delete your account at any time.

Due to encryption design:

• Account deletion is irreversible
• Encrypted data cannot be recovered

14. Dispute Resolution & Arbitration

Any dispute arising out of these Terms shall be resolved as follows:

• Good-faith negotiation
• Mediation in Wyoming, USA
• Binding arbitration under the American Arbitration Association (AAA) rules

You agree to:

• Waive class action rights
• Waive jury trial
• Resolve disputes individually

15. Governing Law

These Terms shall be governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

16. Force Majeure

We are not liable for failure or delay caused by:

• Government actions
• IRS system outages
• Internet disruptions
• Cyberattacks
• Natural disasters
• War
• Acts beyond reasonable control

17. Modifications

We may update these Terms at any time.

Continued use after updates constitutes acceptance.
